Terms & Conditions for the RideStrong Website

INTRODUCTION

 

Welcome to RideStrong, the cycling community established and run by BikeNZ (of Pelorus Trust Sports House, 93 Hutt Park Road, Seaview, Lower Hutt 5010) and its Member Organisations.

 

BikeNZ is the leading organisation in New Zealand for all things cycling.  Its Member Organisations include CyclingNZ, BMX NZ, MTB NZ, and NZ Secondary Schools Cycling.

 

By using this Website you confirm that you have read these Terms & Conditions and accept and agree to be bound by them. 

 

 

1.         TERMS & CONDITIONS

 

1.1       Status: These Terms & Conditions apply to every person who uses the Website and the Services including all RideStrong Members.

 

1.2       Acceptance: All Users of the Website (including RideStrong Members) do so subject to these Terms & Conditions.  By registering as a RideStrong Member or using this Website you have accepted these Terms & Conditions without limitation or qualification.  If you do not intend to be legally bound by these Terms & Conditions do not access or use the Website.

 

1.3       Amendment: These Terms & Conditions may be amended (in whole or in part) by BikeNZ from time to time.  Any amendments will be effective immediately upon posting on the Website.  You are responsible for ensuring you are familiar with the Terms & Conditions and we encourage you to periodically review this page for the latest Terms & Conditions.  Your continued use of this Website represents your agreement to be bound by any amended version of the Terms & Conditions.

 

1.4       Date of Release: These Terms & Conditions apply from 25 November 2008 and were last updated on 25 November 2008. 

 

2.         TERMINOLOGY

 

“Account” means your personal account to access the Website which is created following your registration as a RideStrong Member.

 

“Registration Form” means any BikeNZ approved registration form used to sign up people as RideStrong Members.

 

“RideStrong Member(s)” means any person(s) who have registered as a member of RideStrong in any of the categories of membership listed in paragraph 3.1 of these Terms & Conditions.

 

“Services” means any one or more of the services provided on the Website and includes (without limitation) blogs, forums, message boards, wikis, joining or monitoring cycling related groups, and participating in polls, and surveys, or shopping on-line.

 

“Shop” means the on-line shopping service provided by BikeNZ.  For terms and conditions expressly relating to the Shop please refer to paragraph 8 below.

 

“us” and “we” means BikeNZ and its Member Organisations.

 

“Website” means the RideStrong website located at www.ridestrong.org.nz and www.ridestrong.co.nz.

 

“you”, “your”, and “User(s)” each mean the person(s) using the Website and the Services and include those persons who use the Website who are not RideStrong Members.

 

3.         MEMBERSHIP OF RIDESTRONG

 

3.1       Eligibility: Your ability to be a RideStrong Member is conditional upon you satisfying the following eligibility criteria:

a.         that you are over 18 years of age when you establish your Account or, if you are under 18 you may only use the Website with the express permission and involvement of a parent or other legal guardian; and

b.         that you accept these Terms & Conditions.

 

3.2       Categories of Membership: There are three categories of membership of RideStrong.  These are referred to as RideStrong, RideStronger, and RideStrongest.  Collectively the members in these categories are referred to as “RideStrong Members”.

 

a.         RideStrong: If you sign up as a free RideStrong Member you will receive access to the public pages of the Website and to your own personal profile page.  RideStrong Members can establish a personalised profile page, join, groups, send and receive friend requests (subject to your personal settings), and view and participate in a selection of blogs, forums, wikis, surveys, and polls on the Website. 

 

b.         RideStronger: If you sign up and pay the RideStronger membership fee you receive all the benefits of a RideStrong Member as noted in paragraph 3.1a plus you will be able to access additional Services as they are added to the Website and you will receive:

·                a personalised RideStrong identity wristband;

·                a $20 discount off the RideStrong jersey; and

·                access to a selection of exclusive RideStrong supplier deals and benefits.

 

c.         RideStrongest: If you sign up and pay the RideStrongest membership fee you receive all the benefits of a RideStronger Member as noted in paragraph 3.1b plus you will be able to access additional Services as they are added to the Website and you will receive:

·                an annual subscription to Endurance Magazine (currently valued at $50 including GST);

·                access to a wider selection of exclusive RideStrong supplier deals and benefits; and

·                membership of BikeNZ (including voting rights if over 18 years old) from 1 July 2009.  These rights will only apply once the BikeNZ Constitution has been amended to allow for individual membership (which is expected to be from 1 July 2009).  You will be provided with the terms of membership at this time.

 

3.3       Duration of RideStrong Membership: Membership is ongoing for all RideStrong Members until such time as you notify BikeNZ in writing that you wish to withdraw, or in the event that the Services and/or the Website are no longer provided by BikeNZ. You may request that BikeNZ terminate your Account and/or RideStrong Membership at any time by emailing admin@ridestrong.org.nz.

 

3.4       Duration of RideStronger and RideStrongest Membership: The additional benefits which are provided to members in the RideStronger and RideStrongest categories of membership are based on annual membership following payment of the applicable RideStrong membership fee.  Annual membership of RideStronger and RideStrongest commences on the date BikeNZ enables your Account and expires exactly 12 months later unless you notify BikeNZ in writing that you wish to withdraw earlier, or if you renew your membership, or if the Services and/or the Website are no longer provided by BikeNZ.  If you do not renew your membership of RideStronger or RideStrongest you will remain as a RideStrong Member until such time as you notify us in writing that you wish to withdraw, or in the event that the Services and/or the Website are no longer provided by BikeNZ. You may request that BikeNZ terminate your Account and/or RideStrong Membership at any time by clicking admin@ridestrong.org.nz

 

3.5       Duration of BikeNZ Membership: For members in the RideStronger membership category, an added benefit is membership of BikeNZ.  Membership of BikeNZ will commence once the BikeNZ Constitution is amended to allow for individual membership - which is expected to be 1 July 2009. BikeNZ will notify you if and when your membership of BikeNZ is to commence and provide you with information relating to your membership.  The period of membership of BikeNZ is separate to the period of membership for RideStrong Members. 

 

4.         FEES

 

4.1       Membership Fees: Membership in the RideStrong category is free but membership of the RideStronger and RideStrongest categories is only available upon payment of the applicable membership fees as set out here.

 

4.2       GST: All fees and prices stated on the Website for New Zealand residents are expressed with an indication of the applicable Goods and Services Tax in accordance with the applicable legislation.

 

4.3       Change to Membership Fees: BikeNZ reserves the right to change the membership fees at any time.  In the event that any additional or different categories of membership are developed by BikeNZ, BikeNZ will set any the Terms & Conditions and the applicable fees for such categories and the fees will be effective from the date specified by BikeNZ.

 

4.4       Refunds: If your membership is terminated BikeNZ may, in its sole discretion, determine whether you are eligible for a refund of your membership fee or any part thereof.

 

5.         USE OF THE WEBSITE

 

5.1       Non-Members: All persons who are not RideStrong Members who access the Website and/or the Services do so subject to these Terms & Conditions. 

 

5.2       Accurate Information: You are responsible for ensuring that all personal information that you provide to BikeNZ in respect of your Account and otherwise through the Website is accurate.  You must maintain and update your personal information in your Account to ensure it is kept current at all times.  You must not register under multiple identities (whether accurate or not).

 

5.3       Your Account & Security: Upon registering to be a RideStrong Member you are required to provide a User ID and password to enter your Account.  Your password should not be something obvious or easily guessed such as your birth date or street address.  You are responsible for the safekeeping of your User ID and password and you must take all reasonable steps to prevent disclosure of this information to any other person.  You agree to accept responsibility for all activities that occur under your Account and User ID. 

 

5.4       Reliance on UserID and Password: You understand and agree that BikeNZ are entitled to rely on the authenticity of your User ID and password being supplied to access the Website or any Service supplied by BikeNZ, or to give BikeNZ instructions on your behalf. Where the correct User ID and password have been entered, we may act on any instructions given without further enquiry.

 

5.5       Changing your User ID or Password: BikeNZ will arrange for you to select a new User ID or password and change these details in the BikeNZ records if you tell us in writing as soon as you become aware that your User ID and/or password are lost, or may be known to another person, and/or if there has been unauthorised access to your Account.

 

5.6       Emails & Newsletters: BikeNZ will send you emails relating to your membership, transactions, and other activities on the Website, and for promoting and marketing other BikeNZ or RideStrong products and services to you.  BikeNZ may also send electronic newsletters to RideStrong Members.  Any commercial electronic messages sent by BikeNZ that are governed by the Electronic Unsolicited Messages Act 2007 will contain clear and obvious instructions about how you can unsubscribe to the mailing list for such messages. For further information about this please refer to our privacy policy below at paragraph 7.

 

5.7       Specific Rules of Use: You agree that in accessing and using the Website and/or the Services you will NOT:

a.         undertake any activities for trade or commercial purposes;

b.         do anything that is illegal, offensive, unsafe, inappropriate, or which infringes any copyright or other intellectual property rights of others;

c.         publish any material or comment that promotes or encourages illegal activity or that would violate the property or personal rights of others;

d.         publish any material or comment which falsely expresses or implies that BikeNZ or any other third party has sponsored or endorsed that material;

e.         defame, abuse, harass, stalk, threaten, or otherwise violates the rights of others;

f.          use the personal information of other RideStrong Members for purposes other than establishing contact that is reasonably expected to be welcomed by such other Members;

g.         create a false or misleading identity, or otherwise misrepresent your connection with a person or entity for the purpose of misleading others as to your identity or the origin of any material on the Website;

h.         upload, post, or disseminate any content that infringes any patent, trade mark, trade secret, copyright, or other proprietary right (or part thereof), or which infringes any intellectual property law;

i.           remove any copyright, trade mark, or other proprietary rights notices contained in or on the Website, including those of BikeNZ and its suppliers and supporters;

j.           publish or distribute any unsolicited or unauthorised advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or other forms of solicitation;

k.          transmit, email, or post any material that contains (in any form) software viruses including, but not limited to, trojan horses, worms, time bombs, cancel-bots, or any computer code, files or programmes designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;

l.           use the Website in any unlawful manner or in any other manner that could damage, disable, overburden, or impair the Website;

m.        attempt to gain unauthorised access to the Website, other Accounts, computer systems, or networks connected to the Website, whether through password mining or any other means;

n.         modify, adapt, translate, or reverse engineer any portion of the Website or the Services, or use any robot, spider, site search/retrieval application, or other device or technological process to retrieve or index any portion of the Website, except as expressly authorised by BikeNZ in writing;

o.         harvest or collect email addresses or other contact information of RideStrong Members, including User IDs, by electronic or other means;

p.         otherwise interfere with another RideStrong Member’s use and enjoyment of the Website and/or the Services; or

q.         take any other action which BikeNZ considers is not reasonable or appropriate in respect of the Website and/or the Services.

 

5.8       Breach: Without limiting any other rights and remedies available to BikeNZ, if you breach or fail to comply with any of the Terms & Conditions BikeNZ may do any one or more of the following:

a.         issue a warning to you;

b.         limit your use of the Website and/or the Services;

c.         remove content added or posted by you;

d.         warn other RideStrong Members of your actions;

e.         suspend or terminate your membership;

f.          deactivate your Account;

g.         refuse to provide you with access to the Website or Services; or

h.         disclose details of any breach and your personal information to any relevant authorities.

 

5.9       Termination of Use and/or Membership by BikeNZ: BikeNZ may terminate your membership or take any of the actions listed in paragraph 5.8 if:

·                if a complaint or multiple complaints are received about you from other RideStrong Members or users of the Website;

·                if you breach these Terms & Conditions; or

·                if BikeNZ, in its sole discretion, deems your behaviour to be unacceptable.

 

5.10     Cessation of Website/Services: If BikeNZ decides to discontinue (temporarily or permanently) the Website and/or some or all of the Services it may terminate access to the Website and/or the Services and your membership.  Where possible, BikeNZ will use reasonable efforts to give RideStrong Members fair notice of termination or suspension of access to the Website and/or the Services and may (at BikeNZ’s sole discretion) refund any membership fee or proportion thereof if BikeNZ discontinues the Website and/or the Services. 

 

5.11     Consequences of Termination: If your membership is terminated by you or BikeNZ you agree that BikeNZ may immediately deactivate or delete your Account and all related information and files in your Account and/or bar any further access to such files or to the Website and/or the Services.  You agree that BikeNZ shall not be liable to you or any third party for any termination or suspension of access to the Website and/or the Services.

 

5.12     Disclosure to Authorities: If BikeNZ considers that you have breached the Terms & Conditions you agree that BikeNZ may disclose your personal information (including your name and contact details) to the relevant authorities, parties, and/or intellectual property right holders or their representatives.

 

6.         LIABILITY, DISCLAIMERS, IDEMNITIES & NO WARRANTIES

 

6.1       Liability: You agree that, to the maximum extent permitted by law, BikeNZ is not liable to you or any other person under or in connection with these Terms & Conditions for the provision of the Website or Services, any RideStrong Member’s acts or omissions, or your use of or inability to use the Website or the Services for any reason regardless of whether such liability arises in contract, tort (including negligence), equity, breach of statutory duty or otherwise.  BikeNZ’s liability and responsibility is excluded in respect of any and all loss or damage, whether direct or indirect, including (without limitation) loss of profits, loss of data, loss of business or anticipated savings, general and exemplary damages, consequential and incidental losses.

 

6.2       Disclaimers: You expressly understand and agree that:

a.         your use of the Website and access to the Services, including all transactions and all contact between you and other RideStrong Members and users of the Website, is conducted entirely at your own risk and to the maximum extent permitted by law, BikeNZ disclaims all implied conditions or warranties including warranties of merchantability, fitness for a particular purpose;

b.         you are responsible for all content that you post on the Website;

c.         you will not hold BikeNZ liable for any failure to provide access to the Website or the Services;

d.         BikeNZ is not responsible or liable for any misconduct of any of users of the Website including, without limitation, those persons who have registered under false pretences or who attempt to defraud you;

e.         BikeNZ is not responsible for any content posted by visitors to or users of the Website and the placement of content on the Website by any third party does not constitute endorsement of the content by BikeNZ;

f.          no information or advice that is obtained by you from the Website shall create any warranty by BikeNZ that is not expressly stated in these Terms & Conditions;

g.         responsibility for the content of advertisements appearing on the Website (including hyperlinks to advertiser’s own websites) rests solely with the advertisers.  The placement of such advertisements on the Website does not constitute BikeNZ’s recommendation or endorsement of the advertised product or service.  Each advertiser is solely responsible for any representation made in connection with any such advertisements.

 

6.3       Indemnity: You agree to release, indemnify, and keep indemnified BikeNZ from any and all actions, claims, liabilities, costs (including legal costs and expenses), losses, proceedings, damages, or demands suffered by or incurred by BikeNZ to any person arising out of or in connection with your failure to comply with these Terms & Conditions or your use of the Website and/or the Services.

 

6.4       No Warranties: Except as expressly set out in these Terms & Conditions, BikeNZ excludes all warranties which may be implied into these Terms & Conditions, to the extent permitted by law.  In particular BikeNZ gives no undertakings, representations, or warranties in respect of items sold or listed including:

a.         about ownership of any item;

b.         as to the description, safety, content, quality, or legality of any item;

c.         as to the accuracy of listings posted on the Website; or

d.         that any products will meet your requirements or expectations.

 

6.5       System Integrity: BikeNZ will use reasonable efforts to ensure the Website and Services are available to RideStrong Members at all times.  However from time to time BikeNZ may need to undertake maintenance or upgrading work on the Website and thus the Website and Services may be temporarily unavailable at these times.  BikeNZ takes no responsibility for any system unavailability, or for any loss which is incurred as a result of the Website or Services being unavailable.

 

6.6       Corruption of Data: BikeNZ will use reasonable efforts to ensure data and information held on the Website is not corrupted but BikeNZ assumes no responsibility for the corruption of any such data or information.  Under no circumstances shall BikeNZ be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control including (without limitation) internet failures, computer equipment failures, telecommunication equipment failures, electrical power failures, civil disturbances, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties.

 

7.         PRIVACY

 

7.1       Governing Principles: BikeNZ appreciates that you may want to restrict access to the personal information that you include on the Website.  For this reason you can adjust the settings in the Site Options page of your profile on the Website at any time to limit access to such information.  Please note that to facilitate communication amongst RideStrong Members the default settings for all RideStrong members are set so that all other RideStrong Members can view your profile (containing any information you have uploaded to the profile), including your friends, groups, posts you have made, and files you have uploaded and any items you have identified as ‘favourites’. If you change your site settings to hide any of this information, they take effect from that point forward – information posted in the past will still be visible.  Please bear in mind that if you chose to share your personal information, including any comments, videos, photos or other information, you do so at your own risk.  BikeNZ recommends that you do not share your personal contact information in public areas of the Website.

 

7.2       Collection of Personal Information: BikeNZ collects personal information about you through your use of the Website and the Services including the information you provide when you become a RideStrong Member, and any information relating to your use of the Website and the content to you add or access.

 

7.3       Consent: By registering to use the Website and/or by completing the BikeNZ RideStrong Registration Form, you agree that BikeNZ and its Member Organisations can collect, hold, use, and disclose your personal information for any of the purposes stated below. This includes any information provided on the Registration Form and any updated or additional personal information BikeNZ obtains from you including any photo or other record of your image, or any personal information that you include on your profile page or elsewhere on the Website.  Your information may be used for the following purposes:

 

a.         Processing your application for membership including verifying your identity, notifying the BikeNZ Member Organisations of the information on this form for the purposes of compiling registers of members of RideStrong, BikeNZ, and its Member Organisations, a national database, and for requesting you to renew your membership.

b.         Providing you with information about BikeNZ and its Member Organisations and the activities, events, and programmes that BikeNZ and its Member Organisations offer.

c.         Enabling you to set up a profile page on the Website and participate in all Services including for example on-line social networking activities such as linking up with other RideStrong Members and enabling other RideStrong Members to link with you, joining or monitoring cycling related groups, and participating in blogs, forums, polls, and surveys.

d.         Including your photograph or other imagery on the RideStrong website, in newsletters, annual reports, or similar official publications of RideStrong, BikeNZ and its Member Organisations.

e.         Publishing your results from competing in BikeNZ and/or Member Organisations and/or Partnered Events on the RideStrong website, in newsletters, annual reports, or similar official publications of RideStrong, BikeNZ and its Member Organisations.

f.          Enabling BikeNZ, its Member Organisations, or any sponsor, supporter, or partner of RideStrong to contact you with information about products and services.  This includes providing you with discounts and other special offers.  You may elect to unsubscribe from any commercial electronic message sent to you at any time under the Unsolicited Electronic Messages Act 2007.

g.         Enabling BikeNZ to provide the Website and the Services to you and to conduct research and gather statistics about how the Website and Services are being used including through the use of cookies and other similar technology.

h.         For RideStrongest members only, providing you with notices and other information about BikeNZ including voting and meeting information.

i.           Enabling BikeNZ to comply with any statute, regulation, by-law, or other regulatory instrument that requires collection or disclosure of personal information.

j.           Retaining the information provided by you to BikeNZ if you resign your membership for a maximum period of three years for the above purposes, unless you request earlier removal (in writing); and

k.          Any other purpose you agree to in writing.

 

7.4       Accuracy: You confirm that the personal information you have provided is true and correct. If this information changes you acknowledge that you are required to notify BikeNZ of the changes as soon as practicable. If these details are not true or are misleading you acknowledge that BikeNZ may decline or withdraw your membership. 

 

7.5       Security: BikeNZ will ensure that there are reasonable security safeguards in place in respect of any personal information that BikeNZ holds about you.

 

7.6       Credit Card Security: BikeNZ has taken the following steps to protect the security of your credit card information: Credit card information from purchases is not retained once the card has been debited.

 

7.7       Access: You will have access to your personal information in accordance with the Privacy Act.

 

7.8       Correction: Your personal information will be corrected upon request.  If you wish to have personal information held by BikeNZ corrected please email admin@bikenz.org.nz

 

7.9       Cookies: This Website uses cookies to improve and enhance use of the Website.  Cookies are pieces of information stored on a user’s computer by a web browser at the request of the Website ‘Community Server’.  Cookies are a common piece of internet technology which allow BikeNZ to store and quickly retrieve login information on your computer and provide data that BikeNZ can use to improve the quality of the Website and the Services.  BikeNZ may use these cookies and other related information to gather statistics about the number of people who visit the Website and to customise the layout and content of the Website and the Services for delivery to you.

 

8.         RIDESTRONG SHOP

 

8.1       Access to the Shop: The Website includes a Shop which may be used by New Zealand shoppers only.  To shop on RideStrong you must be the authorised holder of a Visa or Mastercard credit card that has been issued by a New Zealand credit card issuer.

 

8.2       Shopping Services: On the Website you can purchase RideStronger and RideStrongest membership levels browse product listings, and search by product or product category.

 

8.3       Product Descriptions: BikeNZ will make reasonable efforts to ensure that all product descriptions, other information, and commentary about products available through the Shop are current, accurate, and reliable.  However, BikeNZ does not warrant that this will always be the case.  For example, due to technical or human error, at times information may be recorded incorrectly or may need to be updated.  If you purchase a product through the Shop and it does not meet the product description you may return that product provided it is still in an unused condition. 

 

8.4       No Warranties:  BikeNZ does not provide any representation, guarantee, or warranty of any kind in relation to products sold through the Shop.

 

8.5       Price: All prices are stated in New Zealand dollars and will separately record GST unless specifically stated otherwise.

 

8.6       Delivery & Delivery Fees: BikeNZ will only deliver products within mainland New Zealand.  Purchasers cannot specify a delivery address outside of New Zealand.  Unless otherwise stated all purchases through the Shop will incur delivery fees which will be calculated per item.  These fees will be calculated and shown to you in the shopping cart before you complete your purchase.  There may be times when additional delivery charges are required to be paid by you before your order can be processed.  This is only likely to be the case if you live in an area of New Zealand that is remote or if you have ordered a product that has extraordinary delivery requirements.  Unfortunately this may not be made known to you until after your order has been processed and BikeNZ will make reasonable efforts to contact you directly to discuss your options if this is the case.

 

8.7       Status of Orders: Once an order has been placed and your payment has been processed it cannot be changed or cancelled by you without express written authorisation by BikeNZ.  However you may have a general right at law to cancel your order.

 

8.8       Returns & Cancellations: BikeNZ will adhere  to NZ legal regulations regarding the return of faulty merchandise, excluding membership subscriptions.

 

9.         INTELLECTUAL PROPERTY

 

9.1       Ownership of Intellectual Property: BikeNZ (and its Member Organisations, sponsors, suppliers and partners where applicable) own all proprietary and intellectual property rights in and to the Website (including trade marks, text, graphics, and other content), the Services,  and all software and other material underlying the Website and the Services.  However all content that RideStrong Members post on the Website remains the property of those persons with a licence granted to BikeNZ to use that property for the duration of its inclusion on the Website.

 

9.2       Trade Marks: RideStrong, RideStronger, RideStrongest, the BikeNZ name and logo, and the RideStrong logo are trade marks of BikeNZ and may not be reproduced without BikeNZ’s consent.

 

9.3       Restriction on Use of Intellectual Property: Unless BikeNZ has provided express prior written consent, you may not:

a.         use, adapt, copy, reproduce, distribute, store, print, display, perform, publish, or create derivate works based on or using any part of this Website;

b.         commercialise, copy, or on-sell any information or items obtained from any part of this Website; or

c.         include links from your profile page or other pages to advertisers or third party websites.

 

9.4       Infringement of Third Party Intellectual Property: If you believe any material that you or any other RideStrong Member has posted on the Website infringes any third party’s intellectual property rights we ask that you contact us as soon as possible so that we can investigate the matter further.

 

9.5       Third Party Websites & Content: This Website contains (or you may be sent through the Website or the Services) links to other websites as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties.  Such material is not investigated, monitored, or checked for accuracy, appropriateness, or completeness by BikeNZ, and BikeNZ is not responsible for any such material.  Your access to third party websites through this Website is done at your own risk and you should review the applicable terms and conditions of use (including privacy and data gathering practices) of any website to which you navigate from this Website.

 

10.       DISPUTES

 

10.1     Responsibility for Disputes: You agree that you are solely responsible for your interactions with other RideStrong Members and users of the Website and/or the Services.  BikeNZ reserves the right, but has no obligation, to monitor disputes between you and other Users.

 

11.       GENERAL

 

11.1     Governing Law: These Terms & Conditions are governed by the laws of New Zealand.  You submit to the non-exclusive jurisdiction of the Courts of New Zealand.

 

11.2     Entire Agreement: These Terms & Conditions constitute the entire agreement between you and BikeNZ and supersede all previous conditions, understanding, agreements, and representations (whether written or oral) between you and BikeNZ.  For members who join RideStrong via the Registration Form, the Registration Terms & Conditions apply in addition to these Terms & Conditions but must be read subject to these Terms & Conditions.  In the event of any inconsistency between the Registration Terms & Conditions and these Terms & Conditions these Terms & Conditions will prevail (to the extent of any such inconsistency).  BikeNZ will amend these Terms & Conditions from time to time and we encourage you to periodically review this page for the latest Terms & Conditions.

 

11.3     Third Party Terms & Conditions: Where any RideStrong Member enters into an agreement with any partner, supplier or supporter of the Website or BikeNZ, that contract may impose additional terms and conditions which apply in addition to these Terms & Conditions.  BikeNZ is not responsible for any such arrangements and any issues in respect of third parties must be handled directly with the organisation responsible.

 

11.4     Partial Invalidity: If any provision in these Terms & Conditions becomes or is held to be invalid, unenforceable or illegal for any reason, and in any respect, that provision shall be severed from the remaining Terms & Conditions (which shall continue in full force and effect).

 

11.5     No Waiver: If BikeNZ do not exercise or enforce any rights set out in these Terms & Conditions, such action or inaction does not constitute a waiver of BikeNZ’s rights to enforce these Terms & Conditions.

 

11.6     Notices: BikeNZ may provide you with notices regarding the Website or the Services, or these Terms & Conditions by email or by postings on this Website.
